Public Offer
1. GENERAL PROVISIONS
This Public Offer ("Offer") is a legal proposal to enter into a service agreement under the laws of the UAE. It is made by Carusell L.L.C-FZ and addressed to individuals. The Offer outlines the essential terms of the service agreement related to making payments and receiving payouts using bank cards ("Agreement").
By accepting this Offer, any legally capable individual agrees to the Agreement without exceptions or modifications.
2. TERMS AND DEFINITIONS
Authorization — Bank approval confirming sufficient funds and valid card details.
Issuing Bank — Bank issuing the Card to the Cardholder.
Cardholder — Individual named on the Card ("Buyer", "Payer", and "Cardholder" are equivalent).
Order — Electronic document specifying goods/services and transaction details.
User Request — Online submission expressing intent to enter into the Agreement.
Internet — Global computer network system.
Online Store — Merchant’s website listing goods/services.
Online Acquiring — Accepting card payments online, including virtual cards.
IT Services — Technology services provided without being financial services.
Card — Bank-issued electronic payment instrument.
Card Account — Bank account linked to a Card.
International Payment System (IPS) — System for interbank settlements.
Fraudulent Transaction — Transaction flagged/disputed as fraudulent.
Invalid Transaction — Transaction declared void based on IPS rules.
Transaction — Payment, refund, or cancellation.
Transaction Details — Data entered on Payment Page.
Payment — Cashless purchase of goods/services.
Payment Organization — Carusell L.L.C-FZ (Company number 2529989).
Payment Page — Secure online form for transactions.
Payment Services — Services under the Law of the UAE.
Delivery Confirmation — Confirmation document from the Merchant.
IPS Rules — Regulations governing IPS members.
Business Day — Operational day for banks in the UAE.
Instruction — User command to initiate a transaction.
Settlement Bank — Second-tier UAE bank processing transactions.
Website — Merchant’s online platform.
System — Infrastructure for processing card transactions.
Merchant Account — Bank account for payment processing.
Goods/Services — Products or services sold online.
Participants — Bank, Payer, Recipient, Payment Organization, Merchant.
3D Secure — Authentication protocol for secure online payments.
3. SUBJECT OF THE AGREEMENT
This Agreement governs the relationship between Users and the Payment Organization.
By performing actions through the Website, the User fully accepts the Agreement.
The Agreement remains valid indefinitely unless terminated.
The Payment Organization provides information and support via the Website.
4. TYPES AND GENERAL DESCRIPTION OF PAYMENT SERVICES
The service begins once the User submits a Request.
Services are provided through data exchange between parties.
Third-party partners may assist under separate agreements.
Services are based on:
- User Request sent to Settlement Bank.
- Response from Settlement Bank authorizing the transaction.
- Confirmation from Merchant or Bank.
Conditions for service provision:
- Card authorized for online use.
- User’s device has internet access.
- Technical system availability.
Payment fees:
- Charged in addition to transaction amounts per current Tariffs.
Transactions:
- Conducted in national currency following the UAE law.
Authorization includes:
- Preparing and signing documents on behalf of the User.
- Sharing results with involved parties.
5. HOW THE SERVICES ARE PROVIDED
To use services, the User must:
- Read the Agreement.
- Review and accept the Tariffs.
- Confirm acceptance by clicking a button or ticking a box.
By proceeding, the User accepts risks, including invalid transactions.
Transaction Process:
- User initiates Request.
- Merchant sends instruction with access certificate.
- User redirected to Payment Organization.
- System verifies access certificate.
- Payment Organization sends instruction to Settlement Bank.
- Settlement Bank authorizes payment and transfers funds.
Processing timeline:
- Same business day if before 16:00 (Dubai time).
- Next business day otherwise.
Receipts and Records:
- Generated after completion.
- Must be retained until confirmation.
Failed Transactions:
- If authorization is denied or payment rejected, the service is not provided and no fee is charged.
Technical Issues:
- Warning displayed. Proceeding implies acceptance of risks.
Security Measures:
- Requests failing checks are rejected.
6. REFUNDS
Refunds occur via the Card used for the original transaction.
Cash refunds are not allowed.
Refund processing requires:
- User's request submission.
- Payment Organization technical ability to instruct Settlement Bank.
- Issuing Bank’s confirmation.
Disputes are settled directly between User and Merchant.
7. INFORMATION EXCHANGE
Real-time, automatic exchange of information.
Messages are time-stamped and stored for 5 years.
Exchange ends upon:
- Agreement termination.
- User blocking.
- Service discontinuation.
8. RIGHTS AND RESPONSIBILITIES
Payment Organization must:
- Ensure 24/7 System availability.
- Provide services in real-time.
- Refuse service under technical issues.
- Protect User data.
Payment Organization may:
- Work with different banks.
- Set transaction limits.
- Change Agreement/Tariffs with public posting.
- Suspend services if fraud is suspected.
User must:
- Follow Terms and Tariffs.
- Pay fees.
- Provide accurate information.
- Stay updated with changes.
User may:
- Enter into Agreement if legally capable.
- Use services within the law.
9. LIABILITY OF THE PARTIES
Each Party is liable for failure to fulfill obligations under the UAE law.
User is responsible for:
- Providing accurate information.
- Card security.
- Losses due to negligence.
Payment Organization is responsible for:
- Data protection.
- Providing transaction details.
Not responsible for:
- Force majeure events.
- Banking or technical failures.
- Disputes unrelated to the Payment Organization.
Force Majeure:
Neither Party is liable during:
- Natural disasters.
- Epidemics, strikes, wars.
- Government restrictions.
10. DISPUTE RESOLUTION
Disputes are first attempted to be resolved via negotiation.
Complaint procedure:
- Must be submitted within 10 calendar days.
- Include description, User details, and proof.
If unresolved, disputes go to court under the UAE law.
Valid evidence includes:
- System logs.
- Access certificate logs.
11. DURATION OF THE AGREEMENT
The Agreement starts upon User acceptance and remains until obligations are fulfilled.
Termination does not cancel existing obligations.
Revocation is announced via the System's Website.
12. OTHER CONDITIONS
If not specified, Parties follow:
- The UAE law.
- National Bank regulations.
- Business practices.
Identity verification is done using:
- Phone/email.
- Transaction/receipt number.
- Account login if available.
User agrees to data processing, including:
- Storage, usage, transfer (including cross-border).
- Compliance with anti-money laundering laws.
Consent to receive marketing messages via:
- Email.
- SMS.
- Phone.
- Mail.
- Internet platforms.
